AUTORIZACIÓN Y CESIÓN DE DERECHOS DE IMAGEN, VOZ Y CONTENIDO
En Las Piedras, Puerto Rico, en la fecha y hora que constan en el registro electrónico de esta autorización, comparecen:
DE UNA PARTE: RICCO LLC, compañía de responsabilidad limitada organizada bajo las leyes del Estado Libre Asociado de Puerto Rico, que hace negocios bajo el nombre comercial The Frappe Factory (en adelante, «la Empresa»), con operaciones en Las Piedras, Puerto Rico, representada en este acto por la persona autorizada que acepta esta autorización en su nombre.
DE OTRA PARTE: la persona cuyo nombre completo, teléfono, correo electrónico, identificación (si la proveyó), firma y fotografía constan en la primera página de este documento (en adelante, «el/la Participante»), mayor de edad salvo que se indique lo contrario conforme a la sección 9.
Ambas partes, de forma libre y voluntaria, acuerdan lo siguiente:
1. Objeto y autorización
El/la Participante autoriza de forma libre, voluntaria, expresa e irrevocable a la Empresa para captar, grabar, fotografiar, filmar, editar, reproducir, publicar, distribuir y exhibir su imagen, semejanza física, voz, nombre, apariencia y cualquier declaración, gesto o actuación realizada durante la producción de contenido para la Empresa.
Esta autorización cubre todo el material generado en una o varias sesiones de grabación, fotografía o creación de contenido para la Empresa, ya sea que dicho material se utilice de inmediato o en el futuro.
2. Medios y usos autorizados
El material podrá ser utilizado por la Empresa en cualquier medio conocido o por conocerse, incluyendo sin limitarse a: redes sociales (Facebook, Instagram, TikTok, YouTube, WhatsApp, X y similares), sitios web de la Empresa, anuncios pagados (incluyendo campañas en Meta Ads y otras plataformas), material promocional impreso y digital, menús, rótulos, presentaciones, correos electrónicos de mercadeo y cualquier otra pieza de comunicación o publicidad de la Empresa.
La autorización incluye el derecho a editar, recortar, combinar con otros materiales, añadir texto, música, gráficos o efectos, y a adaptar el contenido según las necesidades creativas o promocionales de la Empresa, siempre que ello no presente al/la Participante de forma difamatoria.
3. Territorio y plazo
Por la naturaleza global del internet y de las redes sociales, esta autorización se concede sin límite territorial, es decir, a nivel mundial.
La autorización es de carácter perpetuo e indefinido. La Empresa no estará obligada a retirar o eliminar contenido ya publicado, distribuido o incorporado a campañas, aun cuando el/la Participante deje de tener relación alguna con la Empresa.
4. Carácter gratuito y renuncia a compensación
El/la Participante reconoce y acepta que esta autorización se otorga de manera totalmente gratuita. El/la Participante no recibirá ni reclamará pago, salario adicional, regalía, comisión, participación, honorario ni compensación alguna, ni en el presente ni en el futuro, por la captación, uso, publicación o explotación del material descrito en este documento.
El/la Participante renuncia expresamente a cualquier reclamación económica, presente o futura, derivada del uso del contenido autorizado, incluso si dicho contenido genera ingresos, beneficios comerciales o publicitarios para la Empresa.
5. Titularidad del contenido
Todo el material grabado, fotografiado o producido bajo esta autorización es y será propiedad exclusiva de la Empresa. La Empresa será la única titular de todos los derechos sobre dicho material, incluyendo los derechos de reproducción, edición, distribución y explotación comercial.
El/la Participante no adquiere derecho de propiedad, copia, control ni aprobación sobre el material producido, y renuncia a cualquier derecho de inspeccionar o aprobar la versión final antes de su publicación.
6. Renuncia a reclamaciones
El/la Participante libera y exime a la Empresa, así como a sus dueños, empleados, agentes, contratistas y cesionarios, de toda reclamación, demanda o responsabilidad relacionada con el uso autorizado de su imagen, voz o nombre, incluyendo reclamaciones por invasión de la privacidad, derecho a la propia imagen, difamación, uso del nombre o cualquier reclamación similar, siempre que el uso sea conforme a lo aquí pactado.
7. Comentarios de terceros y exención por daño emocional
El/la Participante entiende y acepta que, al publicarse y difundirse contenido en plataformas públicas y redes sociales, terceras personas ajenas a la Empresa pueden emitir comentarios, opiniones, críticas, reacciones negativas, burlas, señalamientos o expresiones desfavorables sobre dicho contenido o sobre el/la Participante, sin que la Empresa tenga control alguno sobre tales reacciones.
El/la Participante asume de forma libre y voluntaria dicho riesgo, y libera, exonera y mantiene indemne a la Empresa, sus dueños, empleados, agentes y representantes, de toda responsabilidad por cualquier daño moral, psicológico, emocional, angustia mental, afectación a la reputación, sufrimiento o perjuicio de cualquier índole que pudiera derivarse de los comentarios, reacciones, mensajes o conducta de terceros en relación con el contenido publicado.
Lo anterior incluye, sin limitación alguna, cualquier situación de acoso, ciberacoso, hostigamiento, intimidación o «bullying» por parte de terceros, así como cualquier trastorno mental o emocional, condición de ansiedad, depresión, estrés, angustia u otra afectación a la salud mental o emocional que el/la Participante pudiera desarrollar, sufrir o alegar como consecuencia directa o indirecta de dichos comentarios, reacciones o acoso de terceros. El/la Participante reconoce expresamente que la Empresa no origina, promueve ni controla la conducta de terceros, y libera a la Empresa de toda responsabilidad relacionada con dicha conducta y sus consecuencias.
Esta exoneración se otorga al amparo de la legislación aplicable del Estado Libre Asociado de Puerto Rico y de la legislación federal de los Estados Unidos de América, incluyendo las protecciones reconocidas en cuanto a contenido generado por terceros en servicios y plataformas interactivas. La Empresa no será responsable por contenido, comentarios o conducta originados o publicados por terceros.
8. Declaraciones del/la Participante
El/la Participante declara que actúa de forma libre y voluntaria, sin coacción de ningún tipo; que ha leído y comprendido el contenido de este documento; y que tiene plena capacidad legal para otorgar esta autorización.
El/la Participante declara ser mayor de edad. En caso de ser menor de edad, este documento deberá ser otorgado y firmado por su padre, madre o tutor legal, conforme a la sección 9.
9. Participante menor de edad
Si el/la Participante es menor de dieciocho (18) años, esta autorización únicamente tiene validez si la otorga y la firma su padre, madre o tutor legal. La firma del padre, madre o tutor legal sustituye a la del/la menor y vale por él o por ella a todos los efectos de este documento.
El padre, madre o tutor legal declara que ostenta la patria potestad o la custodia legal del/la menor identificado(a) en este documento, que ha leído y comprendido este documento en su totalidad, y que autoriza en representación del/la menor todo lo aquí dispuesto, incluyendo la publicación del material, su carácter gratuito, su carácter perpetuo y las renuncias y exoneraciones contenidas en las secciones anteriores.
El padre, madre o tutor legal debe estar presente al momento de la firma. Su nombre completo, su relación con el/la menor, su teléfono y su correo electrónico quedan registrados junto con su firma, y a esa firma le aplican las mismas disposiciones sobre firma electrónica y evidencia digital de la sección 12.
10. Relación entre las partes
Esta autorización no crea, modifica ni extiende relación laboral alguna, ni obliga a la Empresa a contratar, mantener empleo o relación comercial con el/la Participante. La firma de este documento es independiente de cualquier relación de empleo presente o futura.
11. Revocación
Dada la naturaleza del contenido y de las inversiones publicitarias, esta autorización es irrevocable respecto a todo material captado, producido o publicado mientras estuvo vigente. Cualquier solicitud futura del/la Participante de no participar en nuevas grabaciones no afectará la validez del material ya producido bajo este acuerdo.
12. Firma electrónica y evidencia digital
El/la Participante consiente de forma expresa a otorgar y firmar este documento por medios electrónicos, al amparo del Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 y ss., y de la legislación aplicable del Estado Libre Asociado de Puerto Rico sobre firmas y transacciones electrónicas. Las partes acuerdan que la firma electrónica aquí otorgada tiene la misma fuerza, validez y efecto legal que una firma manuscrita en papel, y que este documento no se tendrá por inválido ni inejecutable por el solo hecho de haberse otorgado en formato electrónico.
Para acreditar la identidad de quien firma y su consentimiento, la Empresa capta y conserva junto a este documento: la firma trazada con el dedo o con un puntero sobre la pantalla; una fotografía (selfie) tomada al momento de firmar; de forma opcional, un video corto en el que el/la Participante declara que autoriza el uso de su imagen y de su voz; la fecha y la hora de Puerto Rico en que se completó el proceso; la dirección IP desde la cual se firmó; la identificación del navegador o dispositivo utilizado; y la versión y el resumen criptográfico (SHA-256) del texto exacto que se mostró en pantalla.
El/la Participante reconoce que ese conjunto de datos constituye evidencia de su identidad, de su consentimiento y del contenido íntegro que aceptó, y que la Empresa podrá presentarlo como tal ante cualquier plataforma, entidad o tribunal competente. La marca de casillas de aceptación y el envío del formulario equivalen a la manifestación expresa de su voluntad.
El/la Participante declara que cuenta con los medios técnicos para leer, recibir y conservar este documento en formato electrónico, y recibe copia del documento firmado en formato PDF en el correo electrónico que proveyó y mediante un enlace personal de recibo. Si prefiere firmar en papel o solicitar copia impresa, puede pedirlo al personal de la Empresa sin costo alguno.
13. Privacidad y manejo de la información
Qué se recoge. Para documentar esta autorización, la Empresa recoge el nombre completo, el correo electrónico, el número de teléfono, el número de identificación (licencia o pasaporte, que es opcional), la firma electrónica, la selfie, el video de consentimiento cuando el/la Participante decide grabarlo, y los datos técnicos descritos en la sección 12. Si el/la Participante es menor de edad, se recogen además el nombre, la relación, el teléfono y el correo electrónico del padre, madre o tutor legal.
Para qué se usa. Esa información se usa únicamente para acreditar que esta autorización fue otorgada de forma libre y por la persona que aparece en el material, para enviarle su copia y para atender cualquier reclamación o requerimiento relacionado con el uso del contenido. La selfie, la firma y el video de consentimiento no se publican ni se utilizan con fines de mercadeo o publicidad.
Con quién se comparte. La Empresa no vende, alquila ni cede esta información a terceros. Solo se comparte cuando lo exige la ley, una orden judicial o un requerimiento válido de autoridad competente; con los profesionales que asesoran legal o contablemente a la Empresa, sujetos a deber de confidencialidad; y con el proveedor de alojamiento donde reside el sistema, únicamente en lo necesario para operarlo.
Dónde y por cuánto tiempo se guarda. Los archivos (firma, selfie, video y PDF) se guardan en un área del servidor que no es accesible directamente desde internet y solo se sirven a través del sistema, previa autenticación del personal autorizado o mediante el enlace personal del/la Participante. La información se conserva mientras el material esté en uso y mientras pueda ser necesaria para sostener la validez de esta autorización, y después durante el tiempo que exija la ley aplicable.
Cómo preguntar. El/la Participante puede solicitar copia de su autorización, corregir sus datos de contacto o hacer cualquier pregunta sobre el manejo de su información escribiendo a la Empresa a la dirección de correo electrónico que aparece en contrato.thefrappefactory.com, o presentándose en el establecimiento en Las Piedras, Puerto Rico. La solicitud de no aparecer en material nuevo se atiende hacia adelante, conforme a la sección 11, y no afecta el material ya producido o publicado.
14. Independencia de las cláusulas (divisibilidad)
Si alguna disposición de este documento fuese declarada nula o inválida por un tribunal competente, las demás disposiciones mantendrán plena validez y efecto.
15. Ley aplicable y jurisdicción
Este acuerdo se regirá e interpretará conforme a las leyes del Estado Libre Asociado de Puerto Rico. Cualquier controversia se someterá a los tribunales competentes de Puerto Rico.
16. Acuerdo completo
Este documento constituye el acuerdo completo entre las partes en cuanto a su objeto y reemplaza cualquier entendido verbal o escrito anterior sobre el mismo asunto.
Leído y comprendido lo anterior, el/la Participante firma electrónicamente en señal de total conformidad, y la Empresa acepta esta autorización por conducto de la persona autorizada para ello.
La primera página de este documento recoge el nombre completo, la identificación (si se proveyó), el teléfono, el correo electrónico, la firma, la selfie, la fecha y la hora de Puerto Rico, la dirección IP, el navegador, la versión del documento, su resumen criptográfico y la lista de las declaraciones aceptadas. Si el/la Participante es menor de edad, recoge además el nombre, la relación y la firma del padre, madre o tutor legal.
Este documento existe en español y en inglés, y ambas versiones dicen lo mismo cláusula por cláusula. El/la Participante escogió el idioma en que lo leyó y lo firmó, y esa es la versión cuyo resumen criptográfico quedó registrado con su firma.

AUTHORIZATION AND RELEASE OF IMAGE, VOICE, AND CONTENT RIGHTS
In Las Piedras, Puerto Rico, on the date and time recorded in the electronic record of this authorization, the following parties appear:
PARTY ONE: RICCO LLC, a Puerto Rico limited liability company organized under the laws of the Commonwealth of Puerto Rico, doing business as The Frappe Factory (hereinafter, “the Company”), operating in Las Piedras, Puerto Rico, represented in this act by the authorized person who accepts this authorization on its behalf.
PARTY TWO: the person whose full name, phone number, email address, identification (if provided), signature, and photograph appear on the first page of this document (hereinafter, “the Participant”), of legal age unless otherwise stated pursuant to Section 9.
Both parties, freely and voluntarily, agree to the following:
1. Purpose and Authorization
The Participant freely, voluntarily, expressly, and irrevocably authorizes the Company to capture, record, photograph, film, edit, reproduce, publish, distribute, and display their image, physical likeness, voice, name, appearance, and any statement, gesture, or performance made during the production of content for the Company.
This authorization covers all material generated in one or more recording, photography, or content-creation sessions for the Company, whether such material is used immediately or in the future.
2. Authorized Media and Uses
The material may be used by the Company in any medium now known or hereafter devised, including but not limited to: social media (Facebook, Instagram, TikTok, YouTube, WhatsApp, X, and similar platforms), the Company’s websites, paid advertising (including Meta Ads and other platform campaigns), printed and digital promotional materials, menus, signage, presentations, marketing emails, and any other communication or advertising piece of the Company.
This authorization includes the right to edit, crop, combine with other materials, add text, music, graphics, or effects, and to adapt the content according to the Company’s creative or promotional needs, provided it does not portray the Participant in a defamatory manner.
3. Territory and Term
Due to the global nature of the internet and social media, this authorization is granted with no territorial limit, that is, worldwide.
This authorization is perpetual and indefinite. The Company shall not be obligated to withdraw or delete content already published, distributed, or incorporated into campaigns, even if the Participant ceases to have any relationship with the Company.
4. No Compensation; Waiver of Payment
The Participant acknowledges and accepts that this authorization is granted entirely free of charge. The Participant shall not receive or claim any payment, additional salary, royalty, commission, share, fee, or compensation of any kind, now or in the future, for the capture, use, publication, or exploitation of the material described in this document.
The Participant expressly waives any financial claim, present or future, arising from the use of the authorized content, even if such content generates revenue, commercial benefit, or advertising value for the Company.
5. Ownership of Content
All material recorded, photographed, or produced under this authorization is and shall be the exclusive property of the Company. The Company shall be the sole owner of all rights to such material, including the rights of reproduction, editing, distribution, and commercial exploitation.
The Participant acquires no right of ownership, copy, control, or approval over the produced material, and waives any right to inspect or approve the final version before its publication.
6. Release of Claims
The Participant releases and holds harmless the Company, as well as its owners, employees, agents, contractors, and assignees, from any claim, demand, or liability related to the authorized use of their image, voice, or name, including claims for invasion of privacy, right of publicity, defamation, use of name, or any similar claim, provided the use conforms to what is agreed herein.
7. Third-Party Comments and Release for Emotional Harm
The Participant understands and accepts that, once content is published and distributed on public platforms and social media, third parties unrelated to the Company may post comments, opinions, criticism, negative reactions, mockery, remarks, or unfavorable expressions about such content or about the Participant, over which the Company has no control whatsoever.
The Participant freely and voluntarily assumes such risk and releases, discharges, and holds harmless the Company, its owners, employees, agents, and representatives from all liability for any moral, psychological, or emotional harm, mental anguish, reputational damage, suffering, or injury of any kind that may arise from the comments, reactions, messages, or conduct of third parties in connection with the published content.
The foregoing includes, without any limitation, any situation of harassment, cyberbullying, stalking, intimidation, or bullying by third parties, as well as any mental or emotional disorder, anxiety condition, depression, stress, distress, or other mental- or emotional-health impact that the Participant may develop, suffer, or allege as a direct or indirect consequence of such comments, reactions, or third-party harassment. The Participant expressly acknowledges that the Company does not originate, promote, or control the conduct of third parties, and releases the Company from all liability related to such conduct and its consequences.
This release is granted under the applicable laws of the Commonwealth of Puerto Rico and the federal laws of the United States of America, including the protections recognized regarding third-party generated content on interactive services and platforms. The Company shall not be liable for content, comments, or conduct originated or published by third parties.
8. Participant’s Representations
The Participant declares that they act freely and voluntarily, without coercion of any kind; that they have read and understood the content of this document; and that they have full legal capacity to grant this authorization.
The Participant declares that they are of legal age. If a minor, this document must be granted and signed by their parent or legal guardian, pursuant to Section 9.
9. Participant Who Is a Minor
If the Participant is under eighteen (18) years of age, this authorization is valid only if it is granted and signed by their parent or legal guardian. The signature of the parent or legal guardian replaces that of the minor and stands for the minor for all purposes of this document.
The parent or legal guardian declares that they hold parental authority or legal custody of the minor identified in this document, that they have read and understood this document in its entirety, and that they authorize on the minor’s behalf everything stated herein, including the publication of the material, its cost-free nature, its perpetual nature, and the waivers and releases contained in the preceding sections.
The parent or legal guardian must be present at the time of signing. Their full name, relationship to the minor, phone number, and email address are recorded together with their signature, and that signature is subject to the same provisions on electronic signature and digital evidence set forth in Section 12.
10. Relationship Between the Parties
This authorization does not create, modify, or extend any employment relationship, nor does it obligate the Company to hire, retain employment with, or maintain a commercial relationship with the Participant. Signing this document is independent of any present or future employment relationship.
11. Revocation
Given the nature of the content and of the advertising investments made, this authorization is irrevocable with respect to all material captured, produced, or published while it was in effect. Any future request by the Participant not to take part in new recordings shall not affect the validity of material already produced under this agreement.
12. Electronic Signature and Digital Evidence
The Participant expressly consents to grant and sign this document by electronic means, under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq., and the applicable law of the Commonwealth of Puerto Rico governing electronic signatures and transactions. The parties agree that the electronic signature granted herein has the same force, validity, and legal effect as a handwritten signature on paper, and that this document shall not be deemed invalid or unenforceable solely because it was granted in electronic form.
To evidence the identity of the signer and their consent, the Company captures and retains together with this document: the signature traced with a finger or a pointer on the screen; a photograph (selfie) taken at the moment of signing; optionally, a short video in which the Participant states that they authorize the use of their image and voice; the Puerto Rico date and time on which the process was completed; the IP address from which it was signed; the identification of the browser or device used; and the version and cryptographic digest (SHA-256) of the exact text displayed on screen.
The Participant acknowledges that this set of data constitutes evidence of their identity, of their consent, and of the full content they accepted, and that the Company may present it as such before any platform, entity, or court of competent jurisdiction. Checking the acceptance boxes and submitting the form constitutes the express manifestation of their will.
The Participant declares that they have the technical means to read, receive, and retain this document in electronic form, and receives a copy of the signed document in PDF format at the email address they provided and through a personal receipt link. If they prefer to sign on paper or to request a printed copy, they may ask the Company staff at no cost.
13. Privacy and Handling of Information
What is collected. To document this authorization, the Company collects the full name, email address, phone number, identification number (license or passport, which is optional), the electronic signature, the selfie, the consent video when the Participant chooses to record it, and the technical data described in Section 12. If the Participant is a minor, the name, relationship, phone number, and email address of the parent or legal guardian are also collected.
What it is used for. This information is used solely to evidence that this authorization was granted freely and by the person appearing in the material, to send the Participant their copy, and to address any claim or request related to the use of the content. The selfie, the signature, and the consent video are not published and are not used for marketing or advertising purposes.
Who it is shared with. The Company does not sell, rent, or transfer this information to third parties. It is shared only when required by law, by a court order, or by a valid request from a competent authority; with the professionals who provide legal or accounting advice to the Company, subject to a duty of confidentiality; and with the hosting provider where the system resides, only as necessary to operate it.
Where and for how long it is kept. The files (signature, selfie, video, and PDF) are stored in an area of the server that is not directly accessible from the internet and are served only through the system, upon authentication of authorized staff or through the personal link of the Participant. The information is retained while the material is in use and while it may be necessary to uphold the validity of this authorization, and thereafter for as long as applicable law requires.
How to ask. The Participant may request a copy of their authorization, correct their contact information, or ask any question about the handling of their information by writing to the Company at the email address shown on contrato.thefrappefactory.com, or by visiting the establishment in Las Piedras, Puerto Rico. A request not to appear in new material is honored going forward, pursuant to Section 11, and does not affect material already produced or published.
14. Severability
If any provision of this document is declared null or invalid by a court of competent jurisdiction, the remaining provisions shall retain full force and effect.
15. Governing Law and Jurisdiction
This agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Puerto Rico. Any dispute shall be submitted to the competent courts of Puerto Rico.
16. Entire Agreement
This document constitutes the entire agreement between the parties regarding its subject matter and supersedes any prior verbal or written understanding on the same subject.
Having read and understood the foregoing, the Participant signs electronically in full agreement, and the Company accepts this authorization through the person authorized to do so.
The first page of this document records the full name, the identification (if provided), the phone number, the email address, the signature, the selfie, the Puerto Rico date and time, the IP address, the browser, the document version, its cryptographic digest, and the list of the accepted statements. If the Participant is a minor, it also records the name, the relationship, and the signature of the parent or legal guardian.
This document exists in Spanish and in English, and both versions say the same thing clause by clause. The Participant chose the language in which they read and signed it, and that is the version whose cryptographic digest was recorded with their signature.
